1.         8:15 - 9:30            Hot Topics in Today’s Tax Controversy Environment.  Jean Pawlow will discuss hot topics in the current tax controversy environment, including the IRS Tier structure, CAP audits, Senator Levin’s investigation,  alternative dispute resolution, what to expect at Appeals, etc. 

 

2.         9:30 - 10:30            Financial Products and Derivatives.  Andrea Kramer will walk through both the basic rules and some hot audit issues.

3.         Partnerships and Joint Ventures - Session A.  Tom Ward will discuss a variety of tax efficient partnership and joint venture structures. 

 

4.         Fringe Benefits -  Session B.  David Fuller will discuss a “Top 10” list of fringe benefit audit issues ranging from low level personal use of cell phones and blackberries to high-flying corporate jets, as well as targets in the IRS executive compensation audit program.

5.         Privilege Issues – Session A.  Jean Pawlow will discuss attorney client and work product privilege issues including Textron and Regions Financial.

 

6.         Executive Compensation Session B.  Joe Adams will discuss several executive compensation topics with tax implications including (1) amending nonqualified deferred compensation plans as the effective date of the final 409A regulations approaches; (2) recent IRS guidance and proposed legislation regarding Code section 162(m); (3) executive compensation audit items; and (4) other hot topics.

7.         2:15 – 3:30            Acquisitions and Restructurings.  Matt White will discuss current issues in M&A and reorganizations.

           

8.         3:30 – 4:30             Troubled Businesses.  Kevin Feeley will discuss issues affecting troubled businesses, including worthless stock and NOL issues, loss importation, reorganizations involving insolvent subsidiaries, and Code section 382.
